Registrar General reviews companies set to be struck off from register

    A statement released by the Registrar-General’s Department has indicated that the RGD has commenced its review of companies set to be struck off from the company’s website.

    The statement, signed by the Registrar-General, Mrs. Jemima Oware revealed that the entire exercise would span three months, having commenced from July 1, 2021. It is expected to end on 30th October 2021.

    The exercise aims at validating companies that heeded the RGD’s directive instructing dormant companies to file their returns or risk having their names deleted from the companies register at the end of June 2021.

    The RGD noted that two separate notices had been issued on March 12, 2020, and December 1, 2020, to this effect, published in the national media and on the Department’s website per the provisions of law, the Companies Act, 2019, Act 992.

    A final notice was served on March 18, 2021.

    Some 257,241 companies currently existing in the new database are reported to have not filed their returns nor Amendments with the Department. Also, some 670,282 companies in the Legacy system have not reportedly carried out their re-registration by the time of the issuance of the first notice in March last year.

    Mrs. Jemima Oware noted in the statement that companies are set to be struck off and are still in default after the three-month review would be published in the national media and on the Department’s website.

    Companies in this category would be deemed “inactive” and unable to be accessed for any such business transaction up to 12 years unless otherwise instructed by a court order.

    Companies have therefore been advised to take advantage of the three-month review and undertake the appropriate redress required to be in good standing with the regulations from the RGD.

    The penalty for late filing remains at GHS450 while the charge for filing Annual Returns for each year is GHS50.00. Company officials are required to include the beneficial ownership information when filing their Annual Returns.
